USER AGREEMENT
This User Agreement ("Agreement") constitutes a legally binding contract between you and BEU, INC. ("BEU", "Company", "we"), a corporation duly incorporated and existing under the laws of the State of Delaware, United States of America. This Agreement governs your use of the Tikin application ("Tikin" or the "Application") and all related services.
By creating a Tikin account ("Tikin Account") and using any of our services, you confirm that you have read, understood, and agreed to all terms and conditions contained in this Agreement, as well as our Privacy Policy, and you acknowledge that you will be subject to these agreements and policies.
Tikin reserves the right, in all respects, to update and modify at any time and in any way, unilaterally and without prior notice, these Terms and Conditions, as well as the features and functionalities of the Services. If you do not agree with the modifications to the Terms and Conditions or the Services, you must immediately stop using them and communicate this to Tikin so that your account can be properly terminated.
Users of the Services are responsible for periodically reviewing the Terms and Conditions and other publications and communications made by Tikin. If after reading this entire Agreement you have any questions or concerns, please contact us at soporte@tikin.is
1. GENERAL DESCRIPTION
Tikin is a technological platform developed by BEU, INC. that offers comprehensive solutions for fund collection and disbursement through multiple channels and technologies. The platform facilitates the creation of international virtual accounts, integration with global payment systems, receipt and sending of cryptocurrencies, card issuance, and a wide range of interconnected digital financial services. The Tikin ecosystem uses stablecoins as the underlying technology to ensure efficiency, speed, and cost reduction in international and local transactions.
Your use of the Tikin Account is subject to this Agreement and is conditioned on your compliance with the applicable laws. You understand that any violation of this Agreement or applicable law may have potential consequences, including the possible loss or confiscation of your account balance.
The balance in your account is backed by stable digital assets (stablecoins) that are a type of stable digital currency denominated in US dollars. Although the price of these digital assets may fluctuate on different exchange platforms, BEU will respect and guarantee an exchange value of 1:1. (1. stablecoin for 1. US dollar), regardless of the current price of the stablecoin on other platforms.
1.1. DEFINITIONS
For the purposes of interpreting these Terms and Conditions, the following terms shall have the meaning indicated below:
Digital Assets: Refers to digital representations of value that can be transferred, stored, or traded electronically, including but not limited to cryptocurrencies, digital tokens, and similar assets available through the Services.
Account: A personal and non-transferable record created by the User on the Tikin platform that allows access to the Services.
Personal Data: Any information linked or that can be associated with a specific natural or legal person, whose processing is governed by Tikin's Personal Data Processing Policy.
Platform: Set of computer systems, applications, and other technological developments through which Tikin provides its Services.
Services: Set of functionalities, tools, and operations that Tikin makes available to Users through its technological platforms.
Restricted Territories: Jurisdictions where the use of Tikin is prohibited or limited, including: countries under economic sanctions by the Office of Foreign Assets Control (OFAC) of the US Treasury Department; territories identified by the Financial Action Task Force (FATF) as high-risk or under increased monitoring; jurisdictions where transactions with digital assets are prohibited by local law; and any other jurisdiction that BEU, Inc. periodically determines to be restricted for legal, regulatory, or risk reasons.
Restricted Persons: Individuals or entities that cannot use Tikin services, including: residents or entities incorporated in Restricted Territories; individuals or entities included in international sanctions lists (OFAC, UN, EU); Politically Exposed Persons (PEPs) not verified by BEU's due diligence procedures; minors according to their jurisdiction; individuals acting on behalf of sanctioned individuals or entities; and any other persons that BEU, Inc. reasonably determines should be excluded from the service for legal or risk reasons.
2. REGULATIONS
Your use of Tikin is subject to the laws, regulations, and rules of any applicable governmental or regulatory authority, including, without limitation, all laws, regulations, and rules in your jurisdiction regarding online conduct and acceptable content.
By accessing or using Tikin, you further represent and warrant that you are not a Restricted Person or a resident of a Restricted Territory; you will not use Tikin for any illegal activity, including but not limited to illegal gambling, money laundering, fraud, blackmail, extortion, data ransoming, terrorism financing, or other violent activities or any prohibited market practices; you are not in a country under US sanctions, do not work in restricted industries under US regulations, do not currently work for sanctioned governments, and are not acting on behalf of anyone who would otherwise be prohibited from using Tikin.
If BEU determines that you have violated this Agreement, including but not limited to transactions with blacklisted accounts or engagement in Restricted Activities or Prohibited Transactions, BEU may take the actions it deems necessary, including but not limited to suspending access to your Tikin Account, closing your account, and freezing or confiscating your digital assets.
2.1. REGULATORY COMPLIANCE BY JURISDICTION
Tikin is committed to operating in compliance with applicable laws and regulations in each territory where it provides services:
a) United States: Compliance with applicable federal regulations and those specific to the State of Delaware, including requirements from the Financial Crimes Enforcement Network (FinCEN) and other relevant regulatory agencies.
b) European Union: Compliance with payment services regulations, data protection (GDPR), and current digital asset regulations.
c) Latin America: Compliance with specific regulations in each country where services are offered, including:
- Colombia: Regulations from the Financial Superintendence and applicable cryptocurrency regulations.
- Mexico: FinTech Law provisions and CNBV regulations.
- Brazil: Central Bank of Brazil and CVM regulations for operations with digital assets.
- Other relevant countries as applicable.
BEU, INC. constantly monitors regulatory changes in all jurisdictions where it operates and reserves the right to adapt its services or restrict certain functionalities in specific territories to ensure regulatory compliance. The User acknowledges that specific limitations by country will be communicated through the platform and that it is their responsibility to comply with applicable local laws.
3. SERVICES
The services offered through the Tikin application are provided by BEU, INC., a corporation duly incorporated under the laws of the State of Delaware, United States of America.
BEU, INC. collaborates with various business partners and financial service providers that are duly regulated to offer the services available in the application. These partners and providers are subject to periodic changes according to the operational and strategic needs of BEU, always maintaining the commitment to work exclusively with entities that comply with all applicable regulations.
The relationship between BEU, INC. and these providers is contractual, where BEU acts as a technological intermediary that facilitates access to financial services through its platform. BEU is not a regulated financial institution and does not directly provide financial services, but connects users with financial service providers that meet the corresponding regulatory requirements.
3.1. GENERAL DESCRIPTION OF SERVICES
Tikin provides an integrated technology platform that allows Users to perform various financial operations through two main categories of services:
3.1.1. Collection Mechanisms
a) International Virtual Accounts: Through our provider Bridge (Bridge Ventures LLC, @https://www.bridge.xyz/), Tikin allows users to create virtual bank accounts in the United States and Europe to receive payments in USD or EUR.
b) Cryptocurrency Reception: Through integration with Bridge, users can receive payments in various cryptocurrencies according to the technical documentation of the provider.
c) Bank Transfers: We facilitate the receipt of transfers from local and international bank accounts.
d) Payment Orchestrator: Tikin is integrated with multiple payment gateways in the United States and Latin America, allowing the collection of funds in different currencies and payment methods. This system includes smart routing that automatically determines the most efficient gateway in terms of cost and offers alternatives in case of rejections.
e) Payment Links/QR/API: Digital tools for generating payment links, QR codes, and API connections for integration with the user's own systems.
f) Subscriptions and Memberships: Solutions for automated recurring payments.
g) Point of Sale (POS): Systems for accepting payments in physical establishments.
3.1.2. Disbursement Mechanisms
a) Card Issuance: Through our provider Pomelo (Pomelo Fintech Services S.A.S, @https://pomelo.la/en/), we offer physical, virtual, or tokenized cards that connect directly to the balances of the various currencies collected, allowing global use.
b) Fund Monetization: Ability to transfer the collected balance to bank accounts, digital wallets, or cryptocurrency wallets selected by the user.
c) Third-Party Payments: Functionality to make direct payments to suppliers, employees, and collaborators from the Tikin platform.
3.1.3. Conversion Services (Swap)
Tikin facilitates the conversion between different types of assets:
a) Fiat to Fiat: Conversion between different fiat currencies. b) Fiat to Crypto: Purchase of crypto assets with fiat currencies. c) Crypto to Fiat: Sale of crypto assets and receipt of fiat currencies. d) Crypto to Crypto: Exchange between different crypto assets.
3.1.4. Additional Services (FUTURE)
Tikin acts as a distribution platform for complementary financial services offered by third parties, which may include:
a) Treasury: Tools for efficient financial resource management. b) Multi-purpose Vouchers: Financial instruments for multiple applications. c) Public Utility Payments: Facilities for payment of essential services. d) Payroll Advance: Financial solutions for employees. e) Microloans: Access to small-scale financing. f) Other financial services: Additional solutions that may be incorporated into the platform.
3.1.5. STABLECOINS AS UNDERLYING TECHNOLOGY
Tikin uses stablecoins (stable digital assets) as the underlying technology to facilitate operations:
a) Automatic Conversion: When collecting funds in fiat currencies such as USD or EUR, they are immediately converted to the corresponding stablecoin to optimize transaction flexibility and speed.
b) Local Stablecoins: Tikin uses stablecoins tied to local currencies where available to facilitate domestic transactions.
c) Value Guarantee: BEU, INC. guarantees a 1:1. parity between stablecoins and their reference fiat currencies, regardless of market fluctuations these digital assets may experience on other platforms.
d) User Benefits: This technological infrastructure allows instant transfers between Tikin users, reduced transaction costs, and greater operational flexibility for international services.
3.1.6. TIKIN'S ROLE AS TECHNOLOGICAL ORCHESTRATOR
Tikin functions as a technology hub that interconnects various financial services through a single access point:
a) Service Integration: Tikin technologically integrates multiple financial and payment service providers, offering a unified user experience.
b) Smart Routing: The platform uses intelligent algorithms to determine the most efficient routes for each transaction, considering factors such as cost, speed, and probability of success.
c) Service Aggregation: Tikin aggregates third-party services, acting as a distributor of these services without necessarily being the direct provider.
d) Technological Facilitation: BEU, INC. provides the technological infrastructure necessary for the interconnection of these services, including APIs, user interfaces, and management systems.
The User acknowledges that Tikin, as a technological orchestrator, facilitates access to these services but is not directly responsible for the final provision of those services provided by third parties, as specifically indicated in the service descriptions.
3.2. DEPOSIT AND WITHDRAWAL SERVICES
3.2.1. Deposits to the Tikin Account
You can deposit funds into your Tikin Account using the methods available in the application, which may include bank transfers, debit/credit cards, and other mechanisms, depending on your jurisdiction.
BEU reserves the right to establish minimum and maximum limits for deposits. These limits may vary depending on the payment method used, your transaction history, and other factors determined by BEU.
When making a deposit, funds will be credited in the stablecoin selected by you (for example, USDC, EURC, among others). This process is not linked to the Market Representative Rate (TRM) nor does it imply automatic conversions of fiat currency. The time required for funds to reflect in your Tikin Account may vary depending on the deposit method used.
3.2.2. Withdrawals from the Tikin Account
You can withdraw funds from your Tikin Account by converting your stablecoin balance to: a) The fiat currency of your preference (when available), or b) Cryptocurrencies compatible with the platform.
When withdrawing your funds, you are exchanging stablecoins and receiving the proceeds through the payment option you selected. As part of the services offered, BEU may rely on itself, its affiliated companies, or third parties to complete the transaction.
Withdrawals are subject to minimum and maximum limits, which may vary depending on the method chosen, your transaction history, and other factors defined by BEU.
BEU will strive to process withdrawals in a timely manner. However, no specific execution time is guaranteed, as this may depend on verification processes, regulatory compliance requirements, and external factors.
3.3. DIGITAL ASSET OPERATIONS
3.3.1. Types of Operations
Through the Services, Users may perform the following operations:
- Buy, sell, or exchange Digital Assets directly with Tikin
- Request Tikin to manage operations on their behalf according to provided instructions
- Send stablecoins to other Tikin users
- Withdraw stablecoins to a compatible blockchain wallet
3.3.2. Operation Process
To perform operations, the User must:
- Provide the information required for each type of operation
- Verify the information before confirming any operation
- Accept the specific applicable terms
- Comply with the requested documentation requirements
Each time you instruct us to perform a transaction, you authorize us to immediately debit your account and transfer the indicated amount.
3.3.3. Execution and Irrevocability
Tikin will execute operations according to the instructions provided, within reasonable timeframes for each type of operation. Confirmed operations are considered final and irrevocable, except for technical or regulatory causes that justify their reversal.
3.3.4. Custody of Digital Assets
The acquired Digital Assets will be maintained under custody by BEU INC., its affiliated companies, or technological partners, who have advanced security mechanisms for the protection of such assets.
By using Tikin, you agree that any of these parties may be used to complete transactions, custody funds or digital assets, and that your personal information may be transferred to these entities to satisfactorily comply with regulatory obligations.
3.3.5. Risks Associated with Digital Assets
The User acknowledges and accepts that operations with Digital Assets involve inherent risks, including:
a) High volatility of prices and market values. b) Possible regulatory changes affecting the availability or legality of Digital Assets. c) Technological risks associated with blockchain technology and similar technologies. d) Possible security vulnerabilities in custody systems. e) Potential total or partial loss of the invested value.
By using the Services, the User declares that:
a) They understand and accept all risks associated with Digital Assets. b) They have evaluated their financial situation and risk tolerance. c) They assume full responsibility for their investment decisions.
3.3.6. No Advisory Services
- Tikin does not provide financial, investment, legal, or tax advice to Users.
- The information provided through the Services is for informational purposes only and does not constitute a recommendation to perform specific operations.
- Users should consult with independent professionals before making investment decisions.
- Tikin does not guarantee returns or results from operations with Digital Assets.
3.4. COSTS, FEES, AND COMMISSIONS
The use of Tikin Services may be subject to the payment of fees or commissions by the User. Any applicable commission for a transaction on the platform will be informed to you prior to confirming the corresponding operation. By confirming the execution of the operation, you expressly accept the indicated fee.
Tikin's fees may include commissions for adding funds, withdrawals, currency conversion, digital asset transactions, or other specific services. The structure and amount of these fees may vary depending on various factors (e.g., volumes operated, payment method used, market conditions, costs of our providers, current promotions, etc.). BEU reserves the right to modify its fees at any time, including increasing, reducing, or eliminating them, according to business needs and market conditions. Any change in fees will be effective from the time of its publication on the platform or on the official price page.
The detailed and current list of Tikin fees is available for consultation in the Fees section on our official website. It is the User's responsibility to be informed about the applicable fees before performing operations. In case of doubt, the User can contact soporte@tikin.is to obtain updated information about costs.
3.4.1. POLICY OF INCENTIVES FOR INTERNAL TRANSACTIONS
BEU, INC. establishes an incentive policy to promote transactions within the Tikin ecosystem:
a) Free Transfers Between Tikin Users: Transfers made between user accounts within the Tikin ecosystem are free, regardless of the amount or frequency, with the aim of encouraging the use of the platform as a closed payment system.
b) Costs for External Transactions: Operations that involve the outflow of funds from the Tikin ecosystem (monetization to external bank accounts, payments to third parties who are not Tikin users, etc.) are subject to the fees established in the Costs and Commissions section.
This policy seeks to offer competitive advantages to users who maintain their operations within the Tikin ecosystem, maximizing the benefits of efficiency, speed, and cost reduction of the platform.
3.6. TECHNOLOGICAL PROVIDERS AND STRATEGIC PARTNERS
For the provision of its services, Tikin establishes strategic alliances with specialized technology providers:
a) Bridge (Bridge Ventures LLC, @https://www.bridge.xyz/): Infrastructure provider for international virtual accounts and services related to crypto assets.
b) Pomelo (Pomelo Fintech Services S.A.S, @https://pomelo.la/en/): Technology provider for the issuance and management of Tikin Cards, both physical and virtual or tokenized.
c) Payment Gateways: Agreements with multiple global and local payment processors for the optimization of collections.
d) Custody Providers: Specialized services for the secure custody of digital assets.
e) Financial Service Providers: Entities that facilitate additional services distributed through the Tikin platform.
The User acknowledges and accepts that these providers may have access to the information provided, to the extent necessary for the provision of their specific services and as established in our Privacy Policy. Tikin carefully selects its technology providers, ensuring that they comply with all applicable security and regulatory requirements.
4. SPECIFIC MANDATE
By accepting these Terms and Conditions, the holder of the Tikin user account grants BEU a mandate to carry out all necessary tasks to execute the operations associated with the Services in accordance with these Terms and Conditions, including, but not limited to:
4.1. Receiving funds provided by the account holder for the sole purpose of fulfilling the holder's instructions regarding the purchase of digital assets on their behalf;
4.2. Buying/selling/exchanging digital assets in the name and on behalf of the account holder at the rates provided through the Services in accordance with these Terms and Conditions;
4.3. Receiving, in the name and on behalf of the account holder, the amounts derived from the sale of digital assets following the holder's instructions, for the sole purpose of holding them until they are transferred to the account holder according to their instructions;
4.4. Sending the acquired digital assets for custody by BEU's partners and proceeding with their withdrawal when the account holder requests to sell them;
4.5. All instructions given by the account holder through the Services in accordance with these Terms and Conditions;
4.6. All tasks associated with the Services that must be carried out in the name and on behalf of the account holder in accordance with these Terms and Conditions.
The mandate granted herein is irrevocable and will terminate once the legal relationship arising from the acceptance of these Terms and Conditions has ended.
5. ELIGIBILITY CRITERIA
Tikin is only available in certain jurisdictions and for certain users. Some features of Tikin may be limited to certain countries and/or certain users, at BEU's sole discretion.
Because we use a risk-based approach to our Anti-Money Laundering Program, we need to collect more information about you as the value of funds deposited in your Tikin Account increases, or when your transaction amounts exceed certain thresholds.
By accessing or using Tikin, you further represent and warrant that:
a) You are not a Restricted Person or a resident of a Restricted Territory.
b) You will not use Tikin for any illegal activity, including but not limited to illegal gambling, money laundering, fraud, blackmail, extortion, data ransoming, terrorism financing, or other violent activities or any prohibited market practices.
c) You are not in a country under US sanctions, do not work in restricted industries under US regulations, do not currently work for sanctioned governments, and are not acting on behalf of anyone who would otherwise be prohibited from using Tikin.
If BEU determines that you have violated this Agreement, including but not limited to transactions with blacklisted accounts or engagement in Restricted Activities or Prohibited Transactions, BEU may take the actions it deems necessary, including but not limited to suspending access to your Tikin Account, closing your account, and freezing or confiscating your digital assets.
Without prejudice to the foregoing, BEU may determine that Tikin, in whole or in part, is not available in some markets, at its discretion, or due to legal or regulatory requirements, depending on the User's location. BEU may, without liability to you or any third party, deny you access to Tikin or refuse to register a Tikin Account.
6. REGISTRATION PROCESS AND IDENTITY VERIFICATION
6.1. ACCESS REQUIREMENTS
To access and use the Services, the User must:
a) Be of legal age and have full legal capacity to contract according to their jurisdiction.
b) Provide truthful, complete, and updated personal information during the registration process.
c) Comply with the identity verification procedures established by Tikin.
d) Have the technological devices and internet connections necessary for the proper use of the Services.
e) Accept these Terms and Conditions and Tikin's Privacy Policy.
6.2. REGISTRATION AND VERIFICATION PROCESS
6.2.1. Account Creation
The User must create an account on the Platform, providing the information required in the registration form, including, but not limited to, full name, identification document, address, email, and contact phone number.
6.2.2. Identity Verification
For legal, regulatory, and security reasons, Tikin will implement identity verification processes before the User can make full use of the Services. These processes may include:
a) Validation of personal information through specific questionnaires.
b) Request for identity documents and/or financial documents for verification.
c) Consultations in public and/or private databases.
d) Additional verification procedures based on risk factors.
6.2.3. Access Credentials
- The User is solely responsible for the custody, administration, and use of their access credentials (username and password).
- All activity carried out through the User's account using their access credentials will be presumed to have been carried out by the account holder and, therefore, will be legally binding and enforceable against them.
- The User must immediately inform Tikin of any unauthorized use of their account or access credentials, as well as any security breach of which they become aware.
- Tikin may, at its sole discretion, implement additional authentication systems to increase security in accessing the Services.
Under certain circumstances, we may ask you to send additional information about you or your business, provide information, and complete other verification steps (such as the "Due Diligence" process). You represent and warrant that all information you submit to us through Tikin, in accordance with this Agreement, is true, accurate, and not misleading in any respect.
7. PRIVACY POLICY
We are committed to protecting your personal information and helping you understand exactly how your personal information is used. You should carefully read our Privacy Policy, as it provides details about how your personal information is collected, stored, protected, and used.
7.1. DATA FLOW IN THE TIKIN ECOSYSTEM
Given the integrative nature of Tikin as a platform that connects multiple financial services, the flow of personal data has specific characteristics:
a) Sharing with Technology Providers: Personal and financial data may be shared with specific providers such as Bridge (for virtual accounts), Pomelo (for card issuance), and associated payment gateways.
b) Cross-border Processing: Due to the global nature of the services, your data may be processed in various jurisdictions where our technology providers operate, always with appropriate safeguards.
c) Data Required by Service: Each service may require different sets of personal data, which will be requested only when the User opts to use such service.
d) Specific Consents: For certain services offered by third parties through the Tikin platform, specific additional consents for data processing will be requested.

8. COMMUNICATIONS
This Agreement is provided to you and communicated in English. By accepting this Agreement, you consent to receive electronic communications from BEU related to your Tikin Account and the services we offer. These communications may include transaction notifications, security alerts, policy changes, and promotions, among others.
You may opt out of receiving certain promotional communications by following the unsubscribe instructions included in such communications. However, you may not opt out of receiving service-related communications that are essential to the operation of your Tikin Account.
9. SECURITY OF USER INFORMATION
You are responsible for maintaining the confidentiality and security of all account names, user identification, access codes, personal identification numbers (PINs), and mobile unlock codes you use to access Tikin. You are responsible for keeping your email address updated in your profile associated with Tikin and for maintaining the confidentiality of your user information.
Additionally, you agree to notify BEU immediately if you become aware of any unauthorized use of your Tikin Account or any breach of security. BEU will not be liable for any loss or damage arising from your failure to protect your account information.
We make every effort to protect your account, but we need you to do the same. It is important that you always protect not only your Tikin password but also the email account associated with your account and any device used to access it.
10. USERNAME
You may select a unique alphanumeric name to identify yourself on Tikin. You may not select a username that confuses or misleads others regarding your business or identity, or that creates a risk of misdirected returns or payments, at our sole discretion. Additionally, you may not select a username that contains the words "Tikin" or "BEU." At our discretion, we may request that you change your username, and we may disable your account, or claim or make your username unavailable without liability to you.
11. SUSPENSION AND ACCOUNT CLOSURE
We may cancel your Tikin Account or access to any of our services at any time for any reason, including a violation of this Agreement. We may add or remove, suspend, stop, or modify any of the services we offer, for any reason at any time.
If your Tikin Account is closed as a result of: a) failure to respond to customer service or compliance requests, b) inability to verify your identity, c) court order, d) violation of the terms of this Agreement, or e) any activity that BEU considers detrimental to Tikin or its operations, this may result in the loss or confiscation of your stablecoins or other digital assets.
Likewise, BEU may temporarily suspend access to your Tikin Account in the event of technical problems, interruptions of the system, or operational errors, until the situation is safely resolved.
You may terminate this Agreement at any time by closing your Tikin Account through a written communication via our support systems. We reserve the right to restrict or refuse to allow withdrawals from your account if: a) Your Tikin Account has been unilaterally suspended or closed by us in accordance with this Agreement, or b) Doing so would be prohibited by law or court order, or if we determine that the digital assets were obtained fraudulently.
Upon closure or suspension of your Tikin Account, you authorize BEU to cancel or suspend pending transactions and forfeit any rights to ownership and claims against BEU in relation to any stablecoins or other digital assets. In the event that you or BEU terminate this Agreement, you remain liable for all activities carried out on or through your Tikin Account while it was active and for all amounts owed under this Agreement.

12. MOBILE DEVICE ACCESS
To the extent that you access Tikin through a mobile device, standard data charges, messaging rates, and other fees from your wireless provider may apply. By accessing Tikin through a mobile device, you agree that we may communicate with you by SMS, MMS, text message, push notifications, and/or other electronic means through your mobile device, and that certain information about your use of Tikin may be communicated to us.
In the event that you change or deactivate your mobile phone number, you agree to update your account information immediately to ensure that your messages are not sent to the person who acquires your old number.
13. TRANSACTION LIMITS
BEU reserves the right to modify conversion, withdrawal, and transaction speed limits on your Tikin Account. We may establish or change limits on the amount and number of deposits, withdrawals, or other transactions that you may make during any specified time period.
A "speed limit" relates to the velocity and frequency of transactions. If you make a large number of transactions per day, we may need to temporarily reduce your speed.
14. RIGHT TO CHANGE/REMOVE FEATURES OR SUSPEND/DELAY TRANSACTIONS
We reserve the right to change, suspend, or discontinue any aspect of Tikin at any time, including operating hours or availability of any feature, without prior notice and without liability. BEU may refuse to process any conversion without prior notice and may limit or suspend the use of your Tikin Account or one or more features at any time, at its sole discretion.
The suspension of the use of your Tikin Account or any of the application's features will not affect your rights and obligations under this Agreement. We may, at our sole discretion, delay conversions if we believe the transaction is suspicious, may involve fraud or misconduct, violates applicable laws, or violates the terms of this Agreement.
15. RESTRICTED ACTIVITIES
In connection with your use of Tikin, you hereby agree that you will not:
a) Violate (or assist any other party in violating) any law, statute, ordinance, or regulation;
b) Defraud (or assist in defrauding) BEU or other Users;
c) Provide false, inaccurate, or misleading information;
d) Perform any action that interferes with, intercepts, or expropriates any system, data, or information;
e) Engage in any transaction involving the proceeds of illegal activity;
f) Engage in any activity that may be in violation of regulations administered by the Office of Foreign Assets Control of the US Treasury Department;
g) Transmit or upload any virus or other malicious software or program;
h) Attempt to gain unauthorized access to other Tikin accounts, the Tikin website, or any related network or system;
i) Conduct transactions with Tikin on behalf of (or as a front for) any person other than yourself or act as an intermediary between BEU and third parties;
j) Collect any user information that is not publicly available from other users, including but not limited to email addresses, phone numbers, and other personal identification information;
k) Defame, harass, or violate the privacy or intellectual property rights of BEU or any other user; or
l) Upload, display, or transmit messages, photos, videos, or other media containing illegal or copyright-protected images or materials.
16. PROHIBITED TRANSACTIONS
The use of Tikin is prohibited in relation to the following, and BEU reserves the right to monitor payments or transactions for:
a) Any Restricted Person or persons or entities located in Restricted Territories;
b) Any of the Restricted Activities listed in these T.C;
c) Money laundering or terrorism financing;
d) Any type of Ponzi scheme, pyramid scheme, or multi-level marketing program;
e) Goods or services that infringe or violate any copyright, trademark, or property rights under the laws of any jurisdiction;
f) Activities that BEU reasonably believes to be illegal in the United States or in the user's jurisdiction.
If BEU determines that you have violated this Agreement, including but not limited to transactions with blacklisted accounts or engagement in Restricted Activities or Prohibited Transactions, BEU may take the actions it deems necessary, including but not limited to suspending access to your Tikin Account, closing your account, and freezing or confiscating your digital assets.
17. UNAUTHORIZED TRANSACTIONS
If an unauthorized transaction or error occurs through your Tikin Account, you must follow the procedures established in this section.
17.1. Notification to BEU of an Unauthorized Transaction or Error
You must notify us immediately if you believe that: a) An unauthorized transaction or error has occurred, b) Your two-factor authentication credentials have been compromised, c) A device on which you have Tikin or which contains an active session has been stolen or lost, or d) You believe there is an error in your transaction records or account history, or have a question regarding your transaction records or account history.
You agree to notify us within fifteen (15) days after the unauthorized transaction or error appears in your transaction history.
17.2. Notification Process
The fastest and most efficient way to notify us about an unauthorized transaction or error is to contact customer support via email at soporte@tikin.is or through the Tikin chat function. In the email, you should include:
a) The name and email associated with your Tikin Account, b) A detailed description of what unauthorized transaction or error you believe occurred, or what information you need to determine if an unauthorized transaction occurred, and c) The amount in the corresponding currency of such unauthorized transaction or error.
Please note that in relation to the investigation and/or resolution of any unauthorized transaction or error, we may need to request additional information about the circumstances of the unauthorized transaction or error. If you do not provide such additional information, it may inhibit our ability to resolve your problem.
17.3. Errors We Discover
If we discover an error that causes you to receive less funds than you are entitled to, we will correct this by crediting your Tikin Account with the difference in stablecoin or the corresponding digital asset. If we discover an error on our own that causes you to receive more funds than you are entitled to, we will correct it by debiting from your Tikin Account the difference in stablecoins or the corresponding digital asset.
18. INDEMNIFICATION; DISCLAIMER
You agree to indemnify and hold harmless BEU, its affiliates and service providers, and each of their officers, directors, agents, joint ventures, employees, and representatives from any claim or demand (including attorneys' fees and any loss, fines, fees, or penalties imposed by any regulatory authority) arising out of your breach of this Agreement, your violation of any law or regulation, or your use of Tikin.
For the purposes of this Section, the term "losses" means all net costs reasonably incurred by us or the other persons referred to in this section, which are the result of the matters set forth in this Section and which may be related to any claims, demands, causes of action, debt, expense, or other liability, including reasonable legal fees (without duplication).
If you have a dispute with one or more users or third parties, you release BEU (and its affiliates and service providers, and each of their officers, directors, agents, joint ventures, employees, and representatives) from all claims, demands, and damages (actual and consequential) of any kind and nature arising out of or in any way related to such dispute.
If you have a dispute with someone other than BEU, you release us from liability associated with that dispute.
19. LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT BEU, OUR AFFILIATES AND SERVICE PROVIDERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURES, EMPLOYEES, AND REPRESENTATIVES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES OR DAMAGES FOR LOSS OF PROFITS, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF BEU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (I) THE USE OR THE INABILITY TO USE TIKIN; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM TIKIN; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; OR (IV) ANY OTHER MATTER RELATING TO TIKIN.
We will not be liable for "exemplary damages" or other indirect losses. For example, if we do something wrong that causes you direct damage valued at $100, our potential liability is limited to those $100, regardless of any other indirect economic consequences that might result from such damage.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF TIKIN OR WITH THIS AGREEMENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF TIKIN AND CLOSE YOUR ACCOUNT.
TIKIN IS PROVIDED "AS IS" AND WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED, OR STATUTORY. BEU, OUR AFFILIATES, AND OUR RESPECTIVE OFFICERS, DIRECTORS, AGENTS, JOINT VENTURES, EMPLOYEES, AND SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BEU DOES NOT WARRANT THAT (I) TIKIN WILL MEET YOUR REQUIREMENTS, (II) TIKIN WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR (III) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU WILL MEET YOUR EXPECTATIONS.
We cannot guarantee that BEU will always satisfy your demands. As we grow, we are likely to add new services, change certain features, and eliminate old functionalities. We hope you will always be satisfied with BEU, but we cannot contractually guarantee that you will be.
20. FORCE MAJEURE
BEU shall have no liability for failures or delays resulting from any condition beyond our reasonable control, including but not limited to governmental actions or acts of terrorism, earthquakes, fires, floods, or other acts of nature, labor conditions, power failures, equipment failures, and Internet disruptions, including but not limited to blockchain network congestion.
21. AMENDMENTS
BEU may modify any part of this Agreement at any time by posting the revised version of this Agreement with an updated revision date. The changes will take effect and be deemed accepted by you the first time you use Tikin after the initial posting of the revised User Agreement and will apply on a going-forward basis with respect to transactions initiated after the posting date.
If you do not agree with such modification, your sole and exclusive remedy is to terminate your use of the Tikin application. You agree that we shall not be liable to you or any third party as a result of any losses suffered by any modification or amendment of this Agreement.
As BEU grows and offers new products and services, we will need to make changes to this Agreement. You can always check when this Agreement was last modified by checking the "Last updated" date at the top of the Agreement.
22. LIMITED LICENSE; INTELLECTUAL PROPERTY RIGHTS
We grant you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use Tikin solely for the purposes permitted and approved by BEU, in accordance with the terms of this Agreement. Any use other than what is authorized is strictly prohibited. All rights to Tikin remain the property of BEU and its licensors. This Agreement does not transfer any ownership rights or any other license to Tikin, beyond the limited access described herein.
Unless you have prior express authorization from BEU, you may not modify, decompile, copy, replicate, rent, lease, resell, distribute, reverse engineer, frame, scrape data, or create derivative works from Tikin, either in whole or in part. If you breach any of these conditions, your access to Tikin may be immediately revoked, in accordance with the provisions of this Agreement.
All rights, title, and interest in Tikin—including its technology, functionalities, and any original or derivative content—belong exclusively to BEU and its licensors. We give you access to use our products and services, but the intellectual property linked to them remains our ownership.
23. JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to any principles of conflicts of law that would require the application of the law of a different jurisdiction. In any action or proceeding to enforce rights under this Agreement, the prevailing party will be entitled to recover costs and attorneys' fees.
24. ARBITRATION
Any controversy or claim arising out of or relating to this Agreement or any breach thereof shall be settled by arbitration in Wilmington, Delaware, to be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Procedures. The determination of the arbitrator in such proceeding shall be final, binding, and non-appealable, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
25. ENTIRE AGREEMENT
This Agreement, along with our Privacy Policy and any other document expressly referred to herein, constitutes the entire understanding between you and BEU regarding the use of Tikin, and supersedes any prior agreement, communication, or proposal, whether verbal or written.
If BEU does not exercise or enforce any right or provision of this Agreement, this does not mean that we waive such right or provision. If any part of this Agreement is deemed invalid or unenforceable by a court, that part shall be interpreted in a manner consistent with applicable laws to reflect as nearly as possible the original intentions, while the remaining parts shall remain in full force and effect.
The headings and explanatory texts are for your convenience only and have no legal effect.
Only you and BEU (including our affiliated companies) have rights and obligations under this Agreement. No other person or entity, even if they indirectly benefit from this Agreement, has the right to demand compliance or claim benefits derived from it.
